Please read these Terms of Service ("Terms") carefully before using the website, a Northeast Telemetry plugin made available through OpenAI products, or managed monitoring services operated by NE APPLIED SYSTEMS, LLC, a New Hampshire limited liability company doing business as NORTHEAST TELEMETRY ("Company," "we," "us," or "our").
By accessing our website or plugin, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our website, plugin, or Services. If you are using our Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
1. Description of Services
We provide managed monitoring for properties, equipment, systems, and processes, and we make a Northeast Telemetry plugin available through OpenAI products. The plugin allows an authorized user to ask an AI assistant for information about appliances, equipment, and systems monitored through Northeast Telemetry, such as furnaces, HVAC equipment, and piping systems. Depending on the project, the work may include site review, monitoring design, installed sensors or gateways, device connectivity, telemetry collection and retained history, customer dashboards, automated alerts, and ongoing technical support (collectively, the "Services"). Pricing generally consists of an installed project fee plus ongoing monthly monitoring; the exact scope, features, pricing, and billing terms are stated in the applicable estimate, order, or service agreement.
Where enabled by the account owner, the plugin can also display telemetry charts and request preconfigured equipment-setting changes through shared or client attributes. Each change requires the applicable account permissions and separate approval in Northeast Telemetry's approval interface. The plugin cannot select arbitrary settings or values. Review the equipment, setting and value before approving. You may decline or revoke future integration access; revocation does not reverse an action already completed. An accepted attribute write confirms the platform accepted the setting, not that the physical equipment reached the requested state. Equipment may be offline, reject a setting, or report an uncertain outcome. These functions do not replace emergency services, safety controls, or direct equipment inspection.
Our current standard on-site service area is New Hampshire and Vermont. Any work outside that area is subject to separate confirmation and agreement.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time. We will provide reasonable notice of material changes where practicable. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
2. Customer Dashboard Access
A. Access Provisioning
Certain Services may include access to a customer dashboard. If we issue access credentials, you agree to provide accurate, current, and complete information and to keep your contact information updated.
B. Access Security
You are responsible for maintaining the confidentiality of any credentials issued to you and for activity that occurs through your access. You agree to:
- Use a strong, unique password for your customer dashboard access
- Not share your login credentials with any unauthorized person
- Notify us immediately at support@northeasttelemetry.com if you suspect unauthorized customer dashboard access
We are not liable for any loss or damage arising from your failure to maintain the security of your customer dashboard credentials.
C. Eligibility
You must be at least 13 years old and authorized by the applicable monitoring account owner to use the plugin. You must be at least 18 years old to order or use our managed monitoring Services.
3. Project Fees, Monthly Monitoring, and Payment
A. Service Pricing
Our managed projects generally include a one-time installed project fee and an ongoing monthly monitoring fee. Any design, installation, equipment, monitoring, optional feature, or other charge that applies to your project will be described in the applicable estimate, order, invoice, or service agreement.
B. Billing and Payment
We may invoice you directly or use a third-party payment processor, as stated in the applicable order or service agreement. If you provide a payment method for charging, you authorize us or that processor to collect the agreed fees. You agree that:
- Installed project fees are billed according to the milestones or schedule stated in your estimate, order, invoice, or service agreement
- Monthly monitoring fees are billed according to the billing schedule stated in your order or service agreement
- All fees are in U.S. dollars unless otherwise stated
- You are responsible for any applicable taxes associated with your purchase
C. Ongoing Monitoring
Monthly monitoring continues until it is ended in accordance with the applicable order or service agreement. Any minimum term, renewal provision, required notice, effective cancellation date, or authorized recurring charge will be stated in that agreement rather than assumed from the public website.
D. Price Changes
We may change pricing for future projects at any time. Any change to an existing customer's recurring fees will be handled according to the applicable service agreement and any notice required by law.
E. Refunds
Refund and cancellation terms are governed by the applicable estimate, order, or service agreement and applicable law. If you believe you have been charged in error, please contact us promptly at support@northeasttelemetry.com.
F. Late Payments and Suspension
If a payment fails or is not received by the due date, we reserve the right to suspend dashboard access or other Services as allowed by the applicable agreement and law. We will make reasonable efforts to notify you before suspension. You remain responsible for fees incurred before suspension.
4. Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in any way that violates any applicable federal, state, or local law or regulation
- Attempt to gain unauthorized access to any part of the Services, our systems, or another customer's dashboard access
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of our platform
- Use the Services to monitor, collect, or transmit data in violation of any third party's privacy rights or applicable law
- Introduce viruses, malware, or other harmful code into the Services or connected systems
- Use the Services to send unsolicited communications or engage in any form of spam
- Resell, sublicense, or otherwise make the Services available to third parties without our prior written consent
- Use the Services in any manner that could damage, overburden, or impair our infrastructure
We reserve the right to investigate violations of these Terms and to suspend or terminate dashboard access or Services involved in prohibited activities, without prior notice and without liability to you.
5. Data Ownership and License
A. Your Data
You retain ownership of all data you submit to our platform, including IoT device data, sensor readings, and operational data ("Your Data"). We do not claim any ownership rights in Your Data.
B. License to Us
By using our Services, you grant us a limited, non-exclusive, worldwide license to access, process, store, and transmit Your Data solely as necessary to provide the Services to you. We do not use identifiable client telemetry or operational data for purposes outside delivering the contracted Services.
C. Aggregated and Anonymized Data
We may generate aggregated or de-identified service-performance information only as permitted by the applicable service agreement and law. We will not present such information as identifying you or your organization.
D. Data Portability and Deletion
Data-export availability and post-termination retention are governed by the applicable service agreement and our Privacy Policy. Contact support@northeasttelemetry.com before termination if you need an export or have retention requirements.
6. Service Availability and Uptime
We strive to maintain reliable availability of our Services; however, we do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to:
- Scheduled maintenance (we will endeavor to provide advance notice)
- Unplanned outages, technical failures, or infrastructure issues
- Circumstances beyond our reasonable control (see Section 13, Force Majeure)
We do not provide a guaranteed uptime commitment (SLA) under these standard Terms. Customers requiring guaranteed uptime, response time commitments, or dedicated support should contact us to discuss a custom service agreement.
IMPORTANT NOTE FOR OPERATORS OF SAFETY-CRITICAL OR LIFE-SAFETY SYSTEMS: Our Services are not designed or certified for use in safety-critical applications where failure or interruption of monitoring could result in personal injury, death, or significant property damage. Do not use our Services as the sole or primary safeguard in such environments.
7. Intellectual Property
A. Our Property
All content, features, functionality, software, designs, trademarks, and technology comprising the Services — excluding Your Data — are owned by or licensed to us and are protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.
B. Feedback
If you provide us with feedback, suggestions, or ideas regarding the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation or attribution to you.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Each party agrees to:
- Use Confidential Information only as necessary to exercise its rights or fulfill its obligations under these Terms
- Not disclose Confidential Information to any third party without prior written consent, except to employees or contractors who need to know it and are bound by confidentiality obligations no less protective than those in these Terms
- Protect Confidential Information using at least the same degree of care used to protect its own confidential information, but no less than reasonable care
These obligations do not apply to information that is or becomes publicly known through no breach of these Terms, was already known to the receiving party, or is required to be disclosed by law or court order.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA OR ALERTS GENERATED BY THE SERVICES
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
A. IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
B. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (I) THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100).
These limitations apply regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise). Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services in violation of these Terms
- Your violation of any applicable law or regulation
- Your Data, including any claim that Your Data infringes or misappropriates any third-party right
- Any misuse of the Services by users accessing the platform through credentials issued to you or your organization
12. Termination
A. Termination by You
You may request cancellation of monthly monitoring or closure of customer dashboard access by contacting us at support@northeasttelemetry.com. The effective date, any required notice, equipment disposition, data access, and any refund or final-payment terms are governed by the applicable order or service agreement and applicable law.
B. Termination by Us
We may suspend or terminate customer dashboard access or other Services at any time, with or without notice, if:
- You violate these Terms or our Acceptable Use policy
- We reasonably believe your access is being used for fraudulent or illegal purposes
- Your payment is overdue and remains unpaid after reasonable notice
- We discontinue the Services (in which case we will provide at least 30 days' notice where practicable)
C. Effect of Termination
Upon termination, your right to access and use the Services ceases immediately. Sections 5, 7, 8, 9, 10, 11, 14, and 15 of these Terms survive termination.
13. Force Majeure
We will not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, power failures, internet outages, cyberattacks, labor disputes, or pandemics. We will make reasonable efforts to resume performance as soon as practicable.
14. Dispute Resolution
A. Informal Resolution
Before filing any formal legal action, you agree to first contact us at support@northeasttelemetry.com and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the matter within 30 days of receiving written notice of your complaint.
B. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New Hampshire, without regard to its conflict of law provisions.
C. Venue
Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Cheshire County, New Hampshire, and you consent to personal jurisdiction in those courts.
D. Waiver of Jury Trial
TO THE FULLEST EXTENT PERMITTED BY LAW, BOTH PARTIES WAIVE THEIR RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
15. General Provisions
A. Entire Agreement
These Terms, together with our Privacy Policy and any applicable order confirmations or service agreements, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements and understandings.
B. Changes to Terms
We reserve the right to modify these Terms at any time. Changes may take effect immediately upon posting unless otherwise stated or required by applicable law. When we make changes, we will update the "Last Updated" date at the top of this document and may notify you by email or through a notice on our website. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
C. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
D. Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of the Company.
E. Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets. These Terms will be binding upon and inure to the benefit of the parties and their permitted successors and assigns.
F. No Third-Party Beneficiaries
These Terms do not confer any rights or remedies on any third party.
G. Notices
We may provide notices to you via email to the contact address associated with your Services or through a notice posted on our website. You may provide notices to us by email at support@northeasttelemetry.com or by mail to our address below.
